Super Admin Non-Disclosure Agreement

1. PURPOSE

Super Admin is granted access to the Client's Ripple Mesh platform instance for the sole purpose of providing technical assistance, configuration support, troubleshooting, feature implementation, and platform optimization services ("Services").

2. SCOPE OF ACCESS

Super Admin is authorized to:

• Access and configure the Client's Ripple Mesh platform
• View organizational data, user records, and content solely for the purpose of providing Services
• Create, modify, and delete platform features, pages, components, and entities as requested by Client
• Integrate third-party services and APIs as directed by Client
• Train Client personnel on platform usage and best practices
• Troubleshoot technical issues and optimize platform performance

3. CONFIDENTIAL INFORMATION

"Confidential Information" means any and all information accessed, viewed, or obtained by Super Admin through the Ripple Mesh platform, including but not limited to:

• Employee data, personnel records, and organizational information
• Training content, courses, assessments, and learning materials
• Business processes, procedures, and operational data
• Financial information, budgets, and ROI calculations
• Strategic plans, programs, and projects
• Incident reports, investigations, and safety records
• Communications, stakeholder information, and organizational relationships
• Technical configurations, integrations, and platform customizations
• Any other data, documents, or information marked as confidential or that reasonably should be understood as confidential

4. NON-DISCLOSURE OBLIGATIONS

Super Admin agrees to:

• Maintain Strict Confidentiality: Hold all Confidential Information in strict confidence and not disclose it to any third party without prior written consent from Client
• Use Restriction: Use Confidential Information solely for the purpose of providing Services and not for any other purpose
• Need-to-Know Basis: Limit access to Confidential Information to only what is necessary to perform the Services
• No Unauthorized Copying: Not copy, reproduce, or create derivative works from Confidential Information except as necessary to provide Services
• Secure Handling: Implement reasonable security measures to protect Confidential Information from unauthorized access, use, or disclosure
• Return or Destruction: Upon Client's request or termination of Services, promptly return or securely destroy all Confidential Information in Super Admin's possession

5. EXCEPTIONS

The obligations under this Agreement do not apply to information that:

• Was publicly known at the time of disclosure or becomes publicly known through no breach of this Agreement
• Was rightfully in Super Admin's possession prior to disclosure by Client
• Is independently developed by Super Admin without use of or reference to Confidential Information
• Is required to be disclosed by law, court order, or governmental regulation (provided Super Admin gives Client prompt notice of such requirement)

6. DATA PRIVACY & SECURITY

Super Admin acknowledges that Client's Ripple Mesh platform may contain Personal Data and Protected Health Information (PHI) subject to privacy regulations including GDPR, CCPA, HIPAA, and other applicable laws. Super Admin agrees to:

• Comply with all applicable data protection and privacy laws
• Process Personal Data only as necessary to provide Services
• Implement appropriate technical and organizational security measures
• Report any data breaches or security incidents to Client immediately
• Not transfer Confidential Information outside the platform environment

7. NO LICENSE OR OWNERSHIP

This Agreement does not grant Super Admin any license, right, title, or interest in Client's Confidential Information, intellectual property, or data. All Confidential Information remains the sole and exclusive property of Client.

8. TERM AND TERMINATION

This Agreement remains in effect for the duration of Super Admin's access to the Client's Ripple Mesh platform and continues indefinitely thereafter with respect to Confidential Information disclosed during the term. Client may revoke Super Admin's access at any time. Super Admin's confidentiality obligations survive termination of access or Services.
